1. Agreement

These Terms of Service (“Terms”) govern use of the CodeFusion UK website, client portal, and the supply of our services. By requesting a quote, accepting a proposal, paying an invoice, creating a portal account, or using our website, you agree to these Terms and the related policies linked from our Legal hub.

We are CodeFusion UK, operating from 10 Rectory Close, Alton Barnes, Wiltshire, SN8 4LE. Contact: hello@codefusionuk.com.

2. Services

We provide digital services which may include website design and build, bespoke software/tools, dashboards, hosting, maintenance, support, website audits, and related consulting. The exact scope, deliverables, fees and timeline are set out in the quote, proposal, order confirmation or subscription package you accept.

Unless otherwise agreed in writing, estimates of time or features outside the written scope are not binding.

3. Quotes and acceptance

Quotes are valid for the period stated on the quote (or 30 days if none is stated). Acceptance occurs when you confirm in writing/email, approve via the portal, pay a deposit/invoice, or otherwise clearly instruct us to proceed.

4. Client responsibilities

You agree to:

• Provide accurate information, content, access credentials and feedback in a timely manner.
• Ensure you have rights to materials you supply (text, images, logos, data).
• Keep portal login details confidential.
• Comply with our Acceptable Use Policy for hosted systems.

Delays caused by missing content, access or approvals may extend delivery dates. We are not liable for those delays.

5. Fees, deposits and ownership

Fees are as stated in your quote/invoice. Deposit and balance arrangements (including work-complete triggers) are described in our Sales & Refunds Policy. Online card payments are processed by Stripe.

Unless otherwise agreed in writing: (a) we retain ownership of pre-existing tools, frameworks, libraries and know-how; (b) upon cleared payment of all sums due for a deliverable, you receive a licence/ownership rights to the custom deliverables described in that engagement (source files as agreed). Third-party licences (fonts, stock, plugins, SaaS) remain subject to their own terms and may require ongoing fees.

6. Hosting and subscriptions

Recurring hosting/maintenance packages are governed by these Terms and our Subscription Policy.

7. Website audits

Automated or assisted website audits are informational guidance based on publicly reachable pages and signals available at scan time. They are not a legal opinion, accessibility certification, security penetration test, or guarantee of search rankings or sales outcomes.

8. Warranties and support

We will perform services with reasonable care and skill. After handover, bug-fix windows (if any) are as stated in your quote. Ongoing support beyond that requires a maintenance subscription or separate agreement.

We do not warrant uninterrupted availability of third-party platforms (hosting networks, Stripe, email providers, domain registries, search engines).

9. Intellectual property and confidentiality

Each party keeps the other’s confidential business information confidential except where disclosure is required by law or to professional advisers under duty of confidence. Portfolio display of completed public websites is permitted unless you opt out in writing before launch.

10. Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.

Subject to that, our total liability arising out of or in connection with a service is limited to the fees paid to us for that specific service in the 12 months before the claim. We are not liable for indirect or consequential loss, loss of profit, loss of data, or loss of business opportunity, except where the law requires otherwise.

11. Termination

Either party may terminate an engagement for material breach if not remedied within a reasonable period after written notice. Subscription cancellation rules are in the Subscription Policy. On termination for non-payment we may suspend work, hosting or portal access until sums are paid.

12. Governing law

These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, without prejudice to mandatory consumer protections that may apply if you are a consumer.

These policies apply to our UK trading activities. If anything in a signed quote or order conflicts with a general policy, the signed document takes priority for that engagement.
